CHANGE IN CLASSIFICATION OF SOLA DAVID-BORHA FROM NON-EXECUTIVE DIRECTOR TO
INDEPENDENT NON-EXECUTIVE DIRECTOR

In compliance with paragraph 3.59(c) of the JSE Listings Requirements, shareholders are advised of the
following change in the classification of a non-executive director.

The boards of Standard Bank Group and The Standard Bank of South Africa Limited (SBSA), on
recommendation from the Directors' Affairs Committee, have assessed Ms Sola David-Borha's
independence and are satisfied that she meets the requirements of independence, including those as
set out in King IV.

Accordingly, Ms David-Borha, who was classified as a non-executive director upon her appointment to
the boards of Standard Bank Group and SBSA, has been reclassified as an independent non-executive
director of both companies with effect from 23 May 2024.
