Form 8-K (the "Form 8-K") has been filed by Powerfleet with the U.S. Securities and Exchange Commission (the "SEC").

Item 8.01. Other Events.

On August 19, 2024, the Company issued a press release announcing the successful resolution of the previously
announced comment letter it received from the SEC relating to the Company's determination of the accounting acquirer
in the recent business combination with MiX Telematics Limited. The Company also announced that it expects to file
its transition report on Form 10-KT for the transition period ended March 31, 2024 and its quarterly report on Form 10-
Q for the quarter ended June 30, 2024 on or before August 23, 2024. A copy of the press release is furnished as Exhibit
99.1 to the Form 8-K.
