Powerfleet stockholders are referred to the announcement published on June 4, 2024, and are hereby advised that the
Form 4 filed by each of Michael Brodsky, Ian Jacobs and Michael McConnell with the U.S. Securities and Exchange
Commission ("SEC") on June 3, 2024 incorrectly included a stock option award grant in Table II thereof. An amended
Form 4 has been filed by each of Mr. Brodsky, Mr. Jacobs and Mr. McConnell with the SEC on June 21, 2024 to (i)
remove from Table II thereof the stock option award grant that was incorrectly included in each original Form 4 and 
(ii) restate in Table I thereof the restricted stock award grant that occurred on May 16, 2024. Additionally, a Form 4 
has been filed by each of Mr. Brodsky, Mr. Jacobs and Mr. McConnell with the SEC on June 21, 2024 to report a change
in beneficial ownership as a result of a stock option grant made to each director on June 18, 2024.
