CHANGES TO THE COMPOSITION OF THE AUDIT AND RISK COMMITTEE

In compliance with paragraph 3.59 of the JSE Listings Requirements and to more fully comply with the requirements of the
King IV Report on Corporate Governance™ for South Africa 2016(1), shareholders are advised that Mr Daniël Ferreira,
currently an independent non-executive director of Premier, will be appointed as a member of the Audit and Risk Committee
(the Committee) with effect from and following the conclusion of the Company's Annual General Meeting (AGM) to be held
on Wednesday, 4 September 2024.

Mr Ferreira is a CA(SA) and has sound financial acumen and experience in finance-related matters. As such, the Board is
of the view that he will provide valuable contributions to the Committee.

Mr Ferreira will replace Mr Jonathan Matthews, who has been a member of the Committee since 11 March 2022. The Board
wishes to sincerely thank Mr Matthews for his meaningful contribution to the Committee and looks forward to his continued
contribution to the Company going forward.

Pursuant to the above, and with effect from the conclusion of the AGM, the Committee will comprise:

Mr Daniël Ferreira
Ms Faith Khanyile
