DISCLOSURE OF SIGNIFICANT HOLDINGS OF METROFILE ORDINARY SHARES

In compliance with Section 122(3) (b) of the Companies Act, 2008 (Act 71 of 2008), as
amended ("Companies Act") and paragraph 3.83(b) of the Listings Requirements of the JSE
Limited ("JSE"), shareholders are advised that on Thursday, 30 May 2024, Metrofile received
notification in terms of section 122(1) of the Companies Act, that:

    •    Subsidiaries of Sabvest Capital Limited ("Sabvest") previously collectively held
         13,502% of the issued ordinary shares (net of treasury shares) in Metrofile. Sabvest
         Finance and Guarantee Corporation Proprietary Limited has disposed of its 8,527%
         interest in Metrofile shares and now does not hold any shares in Metrofile. Sabvest
         Investments Proprietary Limited has retained its interest of 4,975% in Metrofile shares
         (net of treasury shares) so that the holdings of Sabvest and its subsidiaries in Metrofile
         shares have now reduced below 5%; and

    •    Project Sauter Proprietary Limited ("Project Sauter") has acquired a beneficial interest
         in the securities of the company, such that the entire beneficial interest held by Project
         Sauter now amounts to 8.527% of the issued ordinary shares (net of treasury shares)
         of the Company. Project Sauter previously held 0% of the issued ordinary shares of
         the Company.

As required in terms of section 122(3) (a) of the Companies Act, Metrofile has filed the required
notice with the Takeover Regulation Panel ("TRP").

The board of directors of the company accepts responsibility for the information contained in
this announcement having relied on the notice information as provided by SABVEST and
Project Sauter in the respective Form TRP 121.1 and, to the best of their knowledge and belief,
such information is true and does not omit anything likely to affect the importance of such
information contained herein.
