CHANGE TO BOARD AND COMMITTEE COMPOSITION


In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, shareholders
are advised that, after 18 years of dedicated service, Ms Ndumi Medupe has elected to retire
from the board of directors ("board") and as chair of the risk committee and member of the audit
committee and not to make herself available for re-election at the forthcoming annual general
meeting. Her retirement will take effect on conclusion of the annual general meeting, scheduled
for 21 November 2024.

Ndumi, who was appointed to the board on 1 March 2006, has been an integral member of the
team, including through the challenges presented by the Covid-19 pandemic.

The board and management of City Lodge wishes to express its sincere appreciation to Ndumi
for her commitment, leadership and valued contribution to the company and wish her well for the
future.

The board has elected not to fill the vacancy that has arisen following Ms Medupe's retirement.

Mr Deon Huysamer will assume the role of chair of the risk committee and Dr Sizakele Marutlulle
has been appointed as a member of the risk committee effective 23 November 2024. Save for the
aforegoing changes, the board and committees remain as currently constituted.
