The Management Board of Globe Trade Center S.A. ("Company") hereby informs that on 16 April
2025, it received a written notice from GTC Dutch Holdings B.V. with its registered office in
Amsterdam, the Netherlands (the "Entitled Shareholder"), according to which the Entitled
Shareholder re-appoints:

   -   Mr. Ferenc Minárik and

   -   Mr. István Hegedüs

as members of the Supervisory Board of the Company, effective 17 April 2025.

Appointment was made pursuant to article 9 point 1 a)-c) of the Articles of Association of the
Company.

Pursuant to the deposit certificate attached to the notice, GTC Dutch Holdings B.V. holds
337,637,591 shares in the Company, which constitute 58.80% of the Company's share capital,
and therefore is entitled to appoint members of the Supervisory Board of the Company pursuant
to the Articles of Association of the Company.

According to the statements Mr. Ferenc Minárik and Mr. István Hegedüs are not entered in the
register of insolvent debtors maintained in compliance with the Act on the National Court Register
dated 20 August 1997, do not perform any activities outside of the Company's business which
could be considered competitive with respect thereto, do not participate in any competitive
business either as a partner in a civil partnership or any other type of partnership, and are not
members of the authorities of any competing company or any other competing entity.

Moreover, Mr. Ferenc Minárik fulfils the independence criteria as specified in Annex No. II to
Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non -executive or
supervisory directors of listed companies and on the committees of the (supervisory) board.

Mr. Ferenc Minárik is a wide-experienced attorney-at-law who has more than 15 year experience
in real estate development and M&A transactions, as well as in corporate governance. As an
attorney-at-law he manages several international real estate portfolios of his clients. In 2018 he
acquired the Real Estate Lawyer of the Year award in Hungary. In the last few years he moved on
to the financial markets and he provides professional legal assistance for Hungarian banks and
financial institutions as well. Dr. Ferenc Minarik graduated from Faculty of Law and Political
Sciences of Eötvös Lóránd University (ELTE) in 2009.

Mr. István Hegedüs is a graduate of the predecessor institution of Budapest Corvinus University,
as economist. He has extensive, decades-long entrepreneurial experience and knowledge.
Throughout his career, he has been involved in start-ups where he was holding top management
positions in newly established businesses in industries including media, finance, food. Mr .
Hegedüs manages Optima Group in his capacity of CEO since March 2025.

Legal grounds: Art. 5 point 5 of the Regulation of the Council of Ministers of 29 March 2018
concerning the submission of current periodical information by the securities' issuers and the
conditions of recognizing as equal the information demanded by the national lawful regulation of a
country which does not hold the membership in European Union
