CAUTIONARY ANNOUNCEMENT
Shareholders are advised that the two largest shareholders of TeleMasters have
received a signed expression of interest from a BEE company ("Acquiror") to acquire
their shares, subject to a number of conditions. The period for due diligence and
execution of legally binding agreements is 30 days, targeting the end of March 2025.
Thereafter, the offer will be subject to regulatory matters have to be concluded by the
Acquiror in order to implement the offer. As the interested party has to engage with
advisors and funders the maintenance of confidentiality of information cannot be
controlled by TeleMasters.
Once a legally binding agreement has been concluded, it will result in a change of
control of TeleMasters and a mandatory offer being made to the remaining
shareholders in the Company on the same terms.
Accordingly, shareholders are advised to exercise caution whilst dealing in their
securities until a further announcement is made.
The Board collectively and individually accepts responsibility for the information
