COMPETITION AUTHORITIES APPROVAL OF CATEGORY 2 DISPOSAL OF 100 FAIRWAYS, N1 CITY


Shareholders are referred to the announcement published on SENS on 21 June 2024 ("Announcement"),
regarding the disposal by Spear of the property known as Erf 23427 Parow, City of Cape Town, situated at
100 Fairway Close, Parow Golf Course, Cape Town ("Property"), and the rental enterprise conducted by
Spear on the Property, as a going concern ("Disposal").

As stated in the Announcement, the Disposal was subject to the approval of the applicable competition
authorities in terms of the Competition Act, No. 89 of 1998 ("Competition Authorities") ("Condition
Precedent"). Shareholders are advised that on 22 October 2024, the Competition Authorities unconditionally
approved the Disposal and that the Condition Precedent has now been fulfilled.

Accordingly, the Disposal has become unconditional and will be effective on the date of registration of transfer
of the Property, which is anticipated to be during the month of January 2025.
