APPOINTMENT OF DIRECTOR

In line with the Company's ongoing regularisation of the Company, and in compliance with paragraph
3.59(b) of the JSE Listings Requirements, shareholders are advised that Mr Glenn Henning ("Glenn") has
been appointed to the Board of Numeral as a Non-Executive Director with effect from 13 March 2025.

Glenn is an accomplished corporate finance and investment specialist with extensive experience in
mergers and acquisitions, private equity, capital raising, and alternative investments. He is a Chartered
Accountant (CA(SA)) and holds a Bachelor of Accounting from the University of the Witwatersrand, along
with a Certificate in Advanced Valuation from New York Stern University, United States of America (with
High Honours). Glenn registered as a JSE approved executive in 2014. Over the past two decades, he has
played a pivotal role in structuring and executing complex financial transactions across emerging
markets.

Glenn has held senior leadership positions in financial services and investment firms, most recently serving
as Managing Director of Shearwater Capital, where he leads proprietary capital strategies, drives
corporate finance strategies as well as capital raising initiatives. He is also a Non-Executive Director of
Xago Technologies Proprietary Limited, which focusses on digital asset infrastructure. Previously, Glenn
was Head of Alternative Investments at Capricorn Asset Management, leading Namibia's largest private
debt fund investments, and Head of Corporate Finance at Capricorn Group Limited, where he led
mergers, acquisitions, and strategic investment initiatives across Namibia, South Africa, and Botswana.

With deep expertise in financial structuring, valuation, and capital markets, Glenn brings valuable
strategic insights to Numeral Ltd and his appointment strengthens the Board's ability to guide the
Company's growth, investment strategy, and capital allocation decisions.

Numeral has its primary listing on the Stock Exchange Mauritius and a secondary listing on the AltX of the
JSE.
