These announcements set out details of Vodacom (Pty) Limited's ("Vodacom") proposed acquisition of a 30% interest in Maziv Proprietary Limited ("Maziv"), the entity that will house all of the fibre assets owned by Community Investment Ventures Holdings (Pty) Limited ("CIVH"), including Vumatel (Pty) Limited and Dark Fibre Africa (Pty) Limited (the "Transaction"). As indicated in the announcement dated 29 October 2024 the Competition Tribunal prohibited the Transaction. We are still awaiting the Competition Tribunal's detailed reasons for prohibiting the Transaction. Shareholders are advised that the transaction parties have decided to lodge a notice of appeal with the Competition Appeal Court that will be supplemented upon receipt of the Competition Tribunal's reasons for the prohibition. Shareholders are further advised that the transaction parties remain in discussions with regards to the transaction terms. Should agreement not be reached the Transaction may be terminated.
