On 11 March 2024, Textainer was suspended from trading on both the JSE and the NYSE following the Textainer shareholders approving the Merger Proposal on 22 February 2024 as per the Merger Proxy Statement dated 17 January 2024. T The Merger was completed on 14 March 2024 and the listing on the NYSE delisted on 25 March 2024. Pursuant to the Merger Proposal, Textainer has one sole shareholder remaining and therefore no longer meets the minimum spread requirements of the JSE and does not have a primary listing on an exchange that would justify its continued secondary listing on the JSE. Textainer nor its sole shareholder have any intention to rectify the minimum spread required and have no intention of continuing with the listing on the JSE. The JSE, on the basis that the Company no longer has a primary listing on the NYSE and no longer qualifies for a listing on the JSE, initiated the removal of the Company's listing on the JSE in terms of paragraph 1.12 of the JSE Listings Requirements (the "Requirements"). Accordingly, shareholders are advised that Textainer's listing on the JSE will be removed from the commencement of business on Wednesday, 27 March 2024.
