FINALISATION OF ROAD COVER DISPOSAL AND UPDATE ON COMMITMENT AGREEMENT

Shareholders are referred to the SENS announcement issued by Transaction Capital on 12 December 2024
in which shareholders were advised of the status of the Road Cover Disposal and the Commitment Agreement,
amongst other matters. Shareholders are also referred to the SENS announcements issued by Transaction
Capital on 27 September 2024, 30 October 2024 and 2 December 2024, respectively wherein shareholders
were notified of the ongoing Commitment Negotiations.

Transaction Capital advises shareholders that the Commitment Agreement has been signed and that the
resolutive condition has not been met. Accordingly, the Road Cover Disposal is now final, and the RC Value
Added Services Holdings Proprietary Limited Sale Shares will remain with SA Taxi Holdings Proprietary
Limited. The parties have agreed that certain suspensive conditions pertaining to the Commitment Agreement
will be fulfilled in the coming weeks.
