CONDITIONAL DISPOSAL OF 100% INTEREST IN RC VALUE ADDED SERVICES HOLDINGS PROPRIETARY LIMITED AND
RENEWAL OF CAUTIONARY ANNOUNCEMENT

Shareholders are referred to the SENS announcement issued by Transaction Capital on 27 September 2024 (the
"Announcement") in which shareholders were advised of the Road Cover Disposal, amongst other matters. As set out
in the Announcement, as read with the SENS announcement issued by Transaction Capital on 30 October 2024 (the
"Progress Update Announcement"), the Road Cover Disposal is subject to a resolutive condition such that if the
agreement pertaining to the Commitment Negotiations, is not concluded and the agreement pertaining thereto is not
signed or becomes unconditional by 30 November 2024 (the "Extended Commitment Negotiations Long Stop Date"),
or such later date as the parties thereto may agree to in writing, Transaction Capital and SA Taxi Holdings Proprietary
Limited ("SATH") wish to be restored to the positions in which they would have been had the Road Cover Disposal not
been implemented.

The Commitment Negotiations have taken longer than initially anticipated. Transaction Capital and SATH have
accordingly agreed to a further extension and thereby extend the Extended Commitment Negotiations Long Stop Date
to 13 December 2024 (the "Further Extended Commitment Negotiations Long Stop Date"), such that if the agreement
pertaining to the Commitment Negotiations, is not concluded and the agreement pertaining thereto is not signed or
become unconditional by the Further Extended Commitment Negotiations Long Stop Date or such later date as the
parties thereto may agree to in writing, Transaction Capital and SATH wish to be restored to the positions in which
they would have been had the Road Cover Disposal not been implemented.

In the circumstances, shareholders are advised to continue to exercise caution when dealing in the company's
securities until a further announcement is made.
