RETIREMENT OF GROUP CHIEF FINANCIAL OFFICER AND EXECUTIVE DIRECTOR

In compliance with paragraph 3.59 of the JSE Limited Listings Requirements, SPAR shareholders
("Shareholders") are hereby advised that Mr Mark Godfrey has decided to retire from his position as
the Group Chief Financial Officer and as an Executive Director of the board of directors of SPAR
("Board"), with effect from 31 December 2024.

The Board extends its gratitude to Mr Godfrey for his dedication and contributions to the Group during
his 29 year tenure, particularly acknowledging him for the many years of financial oversight of the
business and his support to the Board and Group during the recent challenges faced by the various
businesses.

The Company will commence the process of finding a suitable replacement in the upcoming weeks and
Shareholders will be advised once the appointment of a suitable replacement for the Group Chief
Financial Officer role has been finalised by the Board.
