EXTENSION OF FULFILMENT DATE FOR SUSPENSIVE CONDITIONS RELATING TO
THE DISPOSAL BY SASFIN BANK LIMITED OF ITS CAPITAL EQUIPMENT FINANCE
AND COMMERCIAL PROPERTY FINANCE BUSINESSES TO AFRICAN BANK LIMITED

Sasfin Holdings shareholders ("Shareholders") are referred to the announcement released on
SENS and Circular published on 25 March 2024 wherein they were advised that Sasfin
Holdings, via its wholly owned subsidiary, Sasfin Bank Limited had entered into agreements,
in terms of which, subject to the fulfilment of certain suspensive conditions, it will, as one
indivisible transaction, dispose of its Capital Equipment Finance business, as a going concern,
and its Commercial Property Finance business, as a going concern, to African Bank Limited
("the Disposal").

Shareholders are advised that Suspensive Condition/s to the Disposal relating to regulatory
approvals remain outstanding and that Sasfin Holdings and African Bank Limited have agreed
to extend the date for the fulfilment or waiver, where applicable, of the outstanding suspensive
conditions to 30 September 2024.
