CATEGORY 1 ACQUISITION OF EMIRA WESTERN CAPE REAL ESTATE PORTFOLIO – COMPETITION
AUTHORITIES APPROVAL


Shareholders are referred to the proposed acquisition by Spear of the Western Cape property portfolio of Emira
Property Fund Limited ("Acquisition"), as announced by the Company on SENS on 2 April 2024 and
23 May 2024.

Further details of the Acquisition are set out in the circular ("Circular") which was distributed to shareholders
on 2 July 2024.

As stated in the Circular, the Acquisition was subject to the approval of the applicable competition authorities
in terms of the Competition Act, No. 89 of 1998 ("Competition Authorities"). Shareholders are advised that
on 16 July 2024, the Competition Authorities approved the Acquisition, subject to certain conditions, which
have been accepted by Spear.

The Acquisition is still subject to the remaining outstanding conditions precedent listed in the Circular.
