APPOINTMENT OF THE BUSINESS RESCUE PRACTITIONERS AS DIRECTORS
In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, shareholders are
advised that Mr Jacques Du Toit and Mr Phahlani Mkhombo, the appointed business rescue
practitioners ("BRP(s)") of Rebosis, have been appointed to the board of Rebosis as non-executive
directors with immediate effect.
Mr Mkhombo holds a B.Proc, LLB-postgraduate, LLM, Certificate in Labour Relations and Diploma in
Insolvency Law and Practice including short programmes on Business Restructuring and Corporate
Recovery, International Financial law (Euromoney), Modern Corporate Governance (Euromoney),
Board Leadership (GIBS), International Financial Law (St Catherine's College, Oxford University),
Corporate Renewal, Business Turnaround and Business Rescue (GIBS) and Advanced Short Course
on Business Rescue with the Law Society of South Africa and Unisa.
Mr Mkhombo is founder and Managing Director of Genesis Corporate Solutions. He is an admitted
attorney and a seasoned transaction advisor with over 20 years' experience in restructuring, mergers
& acquisitions, business rescue, corporate finance, project finance, PPP, deal structuring, corporate
governance, legal and insolvency arena – in both the private and public sectors.
He is registered as a Senior BRP with the Companies and Intellectual Property Commission ("CIPC")
and licenced to take business rescue appointments. He is actively involved in advising clients and
lenders on assignments for distressed businesses.
Mr Du Toit holds a B.Proc degree, Certificate in Advance Military Law and a diploma in Tax.
Mr Du Toit is founder and Managing Director of Du Toit Business Rescue Pty Ltd. Further to the above,
he is the managing director and owner of Surestore Burgundy (Pty) Ltd, a Trustee in Tygervalley
Chambers Office Park Body Corporate and a Trustee of Tuscan Trust a commercial Property-Owning
entity. He is an admitted attorney, conveyancer and notary with over 30 years' experience in law, and
within the 30-year experience he has branched into restructuring, mergers & acquisitions, business
rescue, corporate finance, project finance, PPP, deal structuring, corporate governance, legal and
insolvency arena – in both the private and public sectors.
He is registered as a Senior BRP with CIPC and licenced to take business rescue appointments. He is
actively involved in managing private property portfolio, managing, planning, construction and
maintenance of storage development, actively involved in an office park body corporate and a
commercial property owing entity and advising clients and lenders on assignments for distressed
businesses.
