RETIREMENT OF DIRECTOR AND CHANGES IN FUNCTIONS OF DIRECTORS

1. Retirement of director

In compliance with paragraph 3.59 of the JSE Limited Listings Requirements,
OGL shareholders are advised that Mr George Marx has given notice of his
retirement from the OGL and OUTsurance Holdings Limited (OHL) Boards with
effect from 12 September 2024.

George served on the OGL Board since November 2022 and on the OHL Board
since August 2008. He also served as the chairperson of the Audit, Risk and
Compliance Committee where he applied his extensive actuarial and financial
experience to the benefit of the Group.

The OGL and OHL Boards extend their gratitude to George for his many years
of dedicated service and wish him a wonderful retirement.

2. Changes in functions of directors

The OGL Board approved the split of the Audit, Risk and Compliance
Committee into an Audit Committee and a Risk and Compliance Committee, with
the membership of the committees being as follows with effect from 12
September 2024:
