DISPOSAL AND VOLUNTARY ANNOUNCEMENT RELATING TO THE DISPOSALS OF THE
DRUMS AND LIQUID BUSINESSES
1. CLOSING OF THE LIQUID CARTONS DISPOSAL AND UPDATE ON THE BEVCAN
NIGERIA DISPOSAL
Shareholders are referred to the announcement released on SENS on 28
June 2024 regarding the results of the general meeting whereby
shareholders approved the Liquid Cartons Disposal.
Nampak is pleased to announce receipt of the Liquid Cartons
consideration.
Shareholders are further advised that the merger application regarding
the Bevcan Nigeria Disposal has been submitted to The Federal
Competition and Consumer Protection Commission in Nigeria for
assessment. Regrettably no guidance on timing of the outcome can be
provided as each case is evaluated on its merits.
2. VOLUNTARY ANNOUNCEMENT RELATING TO THE DISPOSALS OF THE DRUMS AND
LIQUID BUSINESSES
Shareholders are further advised of the successful disposal of
Nampak's business of manufacturing, selling and supplying plastic
drums ("Drums Business") and the disposal of the business of
manufacturing, selling and supplying HDPE and PET bottles and jars
("Liquid Business").
The rationale for the disposals of the Drums Business and Liquid
Business is in accordance with the asset disposal plan being
implemented by the Company as announced on 14 August 2023.
The disposals are uncategorised in terms of the JSE Limited Listings
Requirements, and the information contained in this announcement is
voluntarily disclosed by the Company.
