DISCLOSURE OF DISPOSAL OF BENEFICIAL INTERESTS IN SECURITIES IN MTN
GROUP

On 19 August 2021, MTN Group received a notification of disclosure from the Public
Investment Corporation SOC Limited (“PIC”) advising that it has disposed of a
beneficial interest in securities of MTN Group.

PIC held 508 442 095 MTN Group ordinary shares (being 26.9835% of the total issued
share capital of the MTN Group) and, with the disposal disclosed on 19 August 2021,
they now hold 428 769 487 MTN Group ordinary shares, which takes their
shareholding down to 22.775% of the total issued share capital of the MTN Group.

This disclosure is made in terms of section 122 of the Companies Act 71 of 2008, as
amended, and Regulation 121 of the Companies Regulations, 2011, and paragraph
3.83(b) of the JSE Limited Listings Requirements. The required applicable forms have
been submitted to the Takeover Regulatory Panel.
