Results of offer of ordinary shares in MTN Uganda

Further to the announcement released on the Stock Exchange News Service of the JSE on 27 May 2024, regarding
the launch of offer in MTN Uganda, MTN is pleased to announce the successful completion and results of the
sale by MTN International (Mauritius) Limited (a wholly-owned subsidiary of MTN) of a portion of its
shareholding in MTN Uganda (the Offer). The Offer was conducted between 27 May 2024 and 10 June 2024. It
was undertaken in compliance with regulatory licence conditions in Uganda and, importantly, in accordance
with MTN's objective to broaden the local shareholding in MTN Uganda.

The Offer was 2.3 times oversubscribed (excluding incentive shares) and MTN Uganda has attained the 20%
minimum public float required by Rule 32(7) of the Uganda Securities Exchange Listing Rules 2021 as well as the
regulations issued by the Uganda Communications Commission.
