DIRECTOR RETIRING BY ROTATION AND WITHDRAWAL OF RESOLUTIONS AT AGM

In terms of paragraph 3.59 of the JSE Limited Listings
Requirements the Board of Directors ("the Board") informs
shareholders that Mr. Timothy Dacre Aird Ross will not stand for
re-election and will be retiring at the Annual General Meeting
("AGM") of the Company to be held on 6 June 2024, having served on
the Board since Mpact listed in 2011.

Mr. Ross will simultaneously retire as a non-executive director of
Mpact Operations (Pty) Ltd and accordingly will retire as the
Chairman of the Audit and Risk Committee, and a member of both the
Audit and Risk Committee and the Remuneration and Nomination
Committee of both the Company and of Mpact Operations (Pty) Ltd.

Accordingly, and further to the updated Notice of AGM distributed
on 17 May 2024, resolutions 1.2 and 2.2 have been withdrawn.

The Board would like to thank Mr. Ross for his          invaluable
contribution and wishes him well in his retirement.
