RESIGNATIONS AND APPOINTMENT NON-EXECUTIVE DIRECTORS

Resignations of non-executive directors
Andrew Mifflin and Julian Hoskin, two non-executive directors of MC Mining Limited (MC Mining or
the Company), have resigned as directors of the Company, effective 30 June 2024. Mr Mifflin has been
a member of MC Mining's board of directors since December 2014 and Mr Hoskin was appointed in
March 2023 and both contributed to MC Mining being positioned to become South Africa's pre-
eminent steelmaking hard coking coal producer once the necessary funding is secured for the
Makhado Project. Mr Mifflin and Mr Hoskin also provided invaluable input as members of MC Mining's
Safety, Health, Environment & Technical Committee while Mr Hoskin was also a member of the
Disclosure Committee.


Appointment of non-executive director
Mr Douglas Abrahams is appointed as a non-executive director, effective today 1 July 2024. Mr
Arahams is a Chartered Accountant (Australia and New Zealnd) with over three decades of expertise
in audit and business advisory roles as well as extensive business advisory experience, including the
development and implemention financial strategies to optimise business performance.


Mathews Senosi, MC Mining's Interim Chairman, said: "On behalf of the Board and shareholders, I
would like to thank Andrew and Julian for their commitment and contribution to MC Mining. Mf
Mifflin and Mr Hoskin provided wise counsel to the Company ensuring that the Makhado Project is
shovel ready as well as providing valuable input to ensure that MC Mining's collieries operate
according to industry best proctice.
I also welcome Mr Abrahams to the Board. Douglas is a highly experienced Chartered Accountant with
a wealth of financial and commercial expertise and will contribute to the development of MC Mining."
