Changes to the board Libstar Holdings Limited (Incorporated in the Republic of South Africa) (Registration number 2014/032444/06) JSE share code: LBR ISIN: ZAE000250239 ("Libstar" or the "Company") CHANGES TO THE BOARD Shareholders are advised in terms of paragraph 3.59 of the JSE Listings Requirements that Ms. Wendy Luhabe ("Wendy") has informed the Company that, following an evaluation of her board commitments, she will not be available for re-election at the next Annual General Meeting ("AGM") and will be stepping down as a non-executive director of the Company at the conclusion of the AGM to be held on or about 30 May 2025. Wendy has been a member of the board and its Chairman since 2018 and, oversaw the transition in the leadership of the Company from the founding members to the current leadership team. Wendy also served as a member of the Remuneration, Nomination and Social, ethics and transformation committees. The Board wishes to express its sincere appreciation to Wendy for her significant contribution over the past 6 years. The Nomination committee will review the suitability of the composition of the board to ensure that the board collectively has the necessary skills and expertise to continue to operate efficiently and that its composition supports the Company's strategic objectives. Shareholders will be advised of any changes to the board and its sub-committees in due course.
