DISTRIBUTION OF CIRCULAR AND NOTICE OF GENERAL MEETING

Unless expressly defined, capitalised terms herein have the same meaning given to them in
the Circular.

1. Distribution of Circular

Shareholders are referred to the announcement released by GPI on SENS on 6 August 2024,
advising shareholders of the GPI Women's BBBEE Empowerment Trust's (being a B-BBEE
ownership entity), proposed purchase of 8,310,834 GPI shares from GPI's wholly owned
subsidiary, GPI Management Services Proprietary Limited, ("BEE Specific Issue").

A Circular containing full details of the BEE Specific Issue has today been distributed to
Shareholders that were recorded as such in the register of Shareholders of the Company on
Friday, 16 August 2024. The Circular also incorporates a notice convening a General Meeting
of Shareholders.

2. Notice of General Meeting

Notice is hereby given that the General Meeting of Shareholders will be held and conducted
entirely by electronic communication, at 10:00 on Friday, 20 September 2024, to consider and,
if deemed fit, to pass, with or without modification the resolutions required to be approved by
Shareholders in order to authorise and implement the BEE Specific Issue.

Notes
(1)   The above dates and times are subject to amendment. Any such amendment will
      be released on SENS.
(2)   If the General Meeting is adjourned or postponed, forms of proxy (yellow) submitted
      for the initial General Meeting will remain valid in respect of any adjournment or
      postponement of the General Meeting.
(3)   All times referred to in this Circular are references to South African time.
