CHANGE OF DIRECTORATE

In terms of section 3.59 of the Listings Requirements of the JSE Limited, shareholders are hereby
advised of the appointment of Raymond Ndlovu and Andile Khumalo as independent non-
executive directors of Grindrod, with effect from 1 November 2024.

Raymond, who previously served on the Grindrod Board as alternate director, is the executive Chair
of Serendipity Ventures and was Group CEO of Community Investment Ventures. He has worked
for Standard Chartered Merchant Bank, Noah Capital Markets, Invenfin and Remgro Limited.
Raymond is a co-founder and owner of Black Elephant Vintners and serves on the boards of several
community service organisations; and is an independent non-executive director of OUTsurance
Group and Investment Managers Group, and chair of AlphaCode Venture Partners.

Andile is a chartered accountant with 22 years of business and investment experience. He started
his career at Deloitte and in 2003 he joined Investec, thereafter founding several businesses and
joining as partner at MSG Afrika. Andile founded investment firm KhumaloCo in 2018. He has served
in various non-executive roles as a member of the Takeover Regulations Panel and the Directorate
of Market Abuse, as director of South African Airways and of the South African Institute of Chartered
Accountants; and as President of the Association for the Advancement of Black Accountants of
Southern Africa. He is a non-executive director of Metrofile Limited and Airports Company South
Africa SOC Limited.
