AMENDMENT TO EXISTING FINANCE ARRANGEMENTS OF AN ASSOCIATE OF A DIRECTOR OF THE COMPANY


Shareholders are advised that on 29 January 2025 GRG Investments Proprietary Limited ("GRG
Investments") agreed terms to amend the existing R13 409 256.18 three-year loan (the "Loan") concluded
with Investec Bank Limited (as detailed in the announcements released on 14 December 2021 and 14 February
2024) by the reduction of the Loan to R13 100 000 and the extension of the duration until 31 January 2028
(the "Amendment"). In terms of the Amendment, the security agreement related to the Loan has been revised
with 3 018 854 Equites shares now being pledged as security.

As Riaan Gous is a director and sole shareholder of GRG Investments, the Amendment constitutes a dealing
in securities by an associate of a director. The transaction was conducted off-market and clearance was
obtained.
