RESIGNATION AND APPOINTMENT OF COMPANY SECRETARY


In compliance with paragraph 3.59 of the JSE Limited Listings Requirements of the JSE Limited,
shareholders are hereby advised that:

1.     Resignation of Company Secretary

       CIS Company Secretaries Proprietary Limited (Reg No. 2006/024994/07) has resigned as company
       secretary of Conduit Capital with effect from 31 May 2025. The board of directors ("the Board")
       expresses its appreciation to CIS Company Secretaries for their services and contributions to the
       Company.

2.     Appointment of New Company Secretary

       Acorim Proprietary Limited (Reg No. 2013/087325/07) ("Acorim"), a company secretarial and
       corporate governance service provider, has been appointed as company secretary with effect from
       1 June 2025. Acorim brings extensive experience in corporate governance and compliance, and the
       Board looks forward to working with them.

The Board is satisfied that Acorim has the experience, qualifications and expertise to fulfil the position of
company secretary.
