PASSING OF AN INDEPENDENT NON-EXECUTIVE DIRECTOR

Pursuant to paragraph 3.59(b) of the JSE Listings Requirements and paragraph 6.42(b) of the
Debt & Specialist Securities Listings Requirements, the board of directors of Calgro M3
("Board") announces with great sadness the passing away of Mr George Hauptfleisch, an
Independent Non-Executive director and Chairman of the Audit and Risk Committee of the
Company, on 25 March 2025, following a brief illness.

Mr Hauptfleisch was appointed as Non-Executive Director and as Chairman of the Audit and
Risk Committee in 2018. He served in his roles with enthusiasm, dedication and distinction
and his contribution to the Company has been immeasurable. Mr Hauptfleisch has left an
indelible mark on the Company, and his knowledge, expertise, and guidance will be greatly
missed.

The Board, management and employees of Calgro M3 express their heartfelt condolences to
Mrs Renee Hauptfleisch and family during this difficult time.

The Board will convene in due course to review changes to the Board committees, and any
updates will be communicated to shareholders accordingly.
