Renewed Cautionary Announcement

COGNITION HOLDINGS LIMITED
(Incorporated in the Republic of South Africa)
(Registration number 1997/010640/06)
Share code: CGN ISIN: ZAE000197042
("Cognition" or "the company")

                RENEWED CAUTIONARY ANNOUNCEMENT

Shareholders are advised that the formal discussions with Cognition's holding
company, Caxton and CTP Publishers and Printers Limited, which were
referred to in the cautionary announcement released on 15 November 2023,
and renewed on 27 December 2023 and 12 February 2024, are still ongoing.

Whilst an offer in this regard has been lodged with the board of the
company, the necessary Firm Intention Announcement required in terms of
the Companies Act, 2008 is still in the process of approval by the Takeover
Regulation Panel.

Unfortunately, the interim results of Caxton and CTP Publishers and Printers
Limited released on Friday, 8 March 2024 contained a reference to the offer
as having been made, which is premature and incorrect.

Shareholders are therefore urged to continue to exercise caution in their
dealings in shares in the company pending further announcements in this
regard.

The board collectively and individually accepts responsibility for the
information contained in this announcement and certifies that, to the best
of its knowledge and belief, the information contained in this announcement
does not omit anything that is likely to affect the import of such information.

By order of the board.
