Changes in board of directors


In compliance with paragraph 3.59 of the JSE Listings Requirements, shareholders of
Buka are hereby advised that Paul Inbona has resigned as a non-executive director of the
Board of directors ("Board") and Chairman of the Audit and Risk committee effective 29
February 2024.


The following new appointments have been made to the Board effective 3 March 2024:
   •   Steve Naude has been appointed as an independent non-executive director of the
       Board, member of the Audit and Risk committee and a member of the
       Remuneration committee;
   •   Melinda Malan has been appointed as an independent non-executive director of
       the Board and Chairperson of the Audit and Risk committee; and
   •   Mahomed Irfan Bux has been appointed as a non-executive director of the Board.


Steve Naude (CA(SA))(MBA) is an entrepreneurial senior executive, with more than forty
years' experience in corporate finance and investment banking in both domestic and cross
border markets over a variety of industries. He has served as a non-executive director on
numerous listed companies and is currently a non-executive director and Chairman of the
Audit and Risk Committee of two JSE listed companies as well as being a member of both
the Social and Ethics Committee and Remuneration Committee of one of them.


Melinda Malan (CA (SA)) currently runs FIGX (Pty) Ltd, a company that focuses on
managing of the audit process and various aspects of audit readiness. She is reputed as
a strategic and forward-thinking financial professional who provides high-quality financial
insights to business leaders to drive critical and strategic business decisions.


Irfan Bux (B Comm) is the Managing Director and CEO of B&B Media (Pty) Ltd, the major
shareholder of Buka. He owns a diverse company portfolio including advertising, property
development, shoe manufacturing and retail and movie and TV production. He has been
in business for over 35 years.


The Board thanks Paul Inbona for his invaluable commitment to the Company and
welcomes Steve Naude, Melinda Malan and Irfan Bux to their new positions.
