OUTSTANDING
R3,000,000,000 5.00% SENIOR UNSECURED EXCHANGEABLE BONDS WITH A PRINCIPAL
AMOUNT OF R1,000 EACH DUE 2024 EXCHANGEABLE INTO BRAIT PLC ORDINARY SHARES
(THE "EXCHANGEABLE BONDS") ISSUED BY BRAIT INVESTMENT HOLDINGS LIMITED
Bondholders are referred to the announcement released by the Issuer on the JSE Limited Stock
Exchange News Service, on Wednesday, 19 June 2024 in which the Issuer gave notice requesting
written consent from the Bondholders of the outstanding Exchangeable Bonds issued on 20 December
2021 for the Extraordinary Resolutions to be passed by written resolution ("Extraordinary Written
Resolutions") proposed by the Issuer described therein.
Bondholders are hereby advised that the Issuer has made the following changes in the notice of
consent:
• Section 5: The Deadline Date has been changed from 1 July 2024 to 3 July 2024;
• Section 6.2: Replaced "in accordance with the existing terms and conditions of the Exchangeable
Bonds" with "to ZAR2.21" in the fourth bullet point under section 6.2; and
• Section 7.3: The announcement date has been changed from 2 July 2024 to 3 July 2024.
