CHANGE TO THE BOARD OF DIRECTORS - APPOINTMENT OF CHAIRMAN



Further to the announcement released on SENS on 15 March 2024 regarding the appointment of
Adv Dr Na Ramatlhodi, an Independent Non-Executive Director, as interim Independent Non-
Executive Chairman, and in accordance with paragraph 3.59 of the Listings Requirements of the
JSE Limited, the board of directors of AYO ("the Board") is pleased to hereby notify its
shareholders of the appointment of Adv Dr NA Ramatlhodi as the Chairman of the Board with
effect from 12 June 2024.

Adv Dr NA Ramatlhodi holds Post-matriculation B Juris Studies, Bachelor of Jurisprudence (BA
Law), Bachelor of Law (LLB), Master of Science (MSc), is Admitted to the Bars of Lesotho and the
Republic of South Africa as an advocate, and has been awarded an Honorary Doctor of Law. Adv
Dr NA Ramatlhodi is a professional businessman, lawyer and advocate with more than 30 years
of business experience. He served as the Premier of the Limpopo province and held the positions
of Minister of Public Services, Minister of Mineral Resources and Deputy Minister of Correctional
Services, and also served as a member of Parliament. He is a founding member and the first
chairman of the University of the North Arts and Drama Association and chairman of the Central
Cultural Committee. Adv Dr NA Ramatlhodi lectured public international law at the University of
the North and is an author of numerous published articles.
