APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR

The board of directors ("Board") of AVI is pleased to announce the
appointment of Mrs Valerie Davies to the Board as an independent
non-executive director, and a member of the Remuneration,
Nomination and Appointments Committee, with effect from 1 June
2024.

Mrs Davies is a Chartered Accountant with almost 40 years of
experience in a global professional services firm serving in
numerous client service and leadership roles. She was EY Africa
Risk Leader, responsible for identifying and mitigating key risk
drivers, until her retirement in June 2023. During her time at EY,
she held the position of EY Africa Chief Operating Officer from
2008 to June 2021 as well as various other positions. In these
roles she was responsible for strategy execution, operational
efficiency and profitability, talent/human resources, risk
management systems, and implementation of the partner reward
system across EY Africa.
