In terms of section 45(2) of the Act, the board has authorised the Company to confirm the amount of the variable loan facility provided to AH-Vest's holding company, Eastern Trading Proprietary Limited up to a maximum of R25 million (twenty-five million) which was advanced primarily, for the purpose of partially funding the tomato out-grower scheme in the Limpopo Province, which loan is repaid through the purchasing of tomato paste by AH Vest which, in turn, enables AH-Vest to secure the local supply of tomato paste, thereby reducing the company's exposure to imports duties and foreign exchange risk. This authority has been approved previously in accordance with the Act and is again confirmed. The board has satisfied itself that the terms of the facility are fair and reasonable and that the Company satisfies the solvency and liquidity test after extending such facility, in terms of section 4 of the Act. Shareholders are advised that the total value of the increased facility will exceed 1/10th of 1% of the Company's net worth as of the date of the approval of the resolution, being 12 April 2024.
