CHANGES TO THE BOARD OF DIRECTORS
Shareholders and noteholders are advised that Dawn Marole has notified the board of directors ("the Board") of her
intention not to stand for re-election at the upcoming annual general meeting due to be held on 25 June 2025
("AGM"), following a 9-year tenure as an independent non-executive director of Resilient. Dawn will step down as
a director of the Company, as well as the chairperson of the Risk Committee and as member of the Nomination
Committee at the conclusion of the AGM in order to pursue other interests. The composition of the Nomination
Committee and the Risk Committee as reconstituted will be announced in due course.
The Board thanks Dawn for her contribution to the Company and wishes her well in her future endeavours.
Shareholders and noteholders are further advised that Sarita Martin (BProc LLB and MBA (GIBS)) will be appointed
as an independent non-executive director with effect from 1 June 2025.
Sarita is an admitted attorney and an accredited mediator for South Africa and the Centre for Dispute Resolution in
the UK. She is a fellow of the Institute of Directors South Africa as well as a certified director and an alumni of
Competent Boards in Canada. Sarita is currently on the core faculty of the Institute of Directors South Africa NPC
as a governance specialist. She was a public defender and prosecutor specialising in criminal law prior to joining the
corporate world.
Sarita has been an independent non-executive director since December 2012. She is currently the Chairperson of
UsPlus Limited and the Integrated Exchange Proprietary Limited and serves as an independent non-executive director
on a number of JSE listed companies.
The Board welcomes Sarita and looks forward to her contribution to the Company.
