ANNOUNCEMENT TO THE NOTICE OF A MEETING OF THE HOLDERS OF ALL THE CLASS B NOTES
ISSUED IN RELATION TO TRANSACTION NO. 1 – BRIDGE TAXI FINANCE NO 8 ("Transaction
No. 1")
We refer to the notice delivered by the Issuer on 19 September 2024 in
accordance with Condition 17.2 and Condition 22.2.4 of the terms and conditions
of the Notes, giving notice that a meeting of the holders of all Class B Notes
issued by the Issuer under the Programme in relation to Transaction No. 1
("Meeting"), is to be held on the 16 October 2024 at 11h30, at the offices of
Redinc Capital (Pty) Ltd, situate at 10 Muswell Road South, Bryanston by way of
electronic communication.
With reference to the SENS announcement of 17 September 2024, the Security SPV
is required to call a meeting of the Controlling Class of Noteholders to decide
the matters as described on Condition 11.2.3.1, in accordance with Condition 17
(Notices) of the terms and conditions of the notes under the Programme, the
details of which are as set out in the notice, which also includes full details
and instructions relating to the voting in respect of the required
Extraordinary Resolution.
The record date to be recorded in the Register to vote at the Noteholders
Meeting, is 11 October 2024.
Please note that the proxy form should be sent to Strate Proprietary Limited at
Strate-CDAdmin@strate.co.za, and a copy to the Issuer at paul@red-inc.co.za,
any time before the time and on the date appointed for holding the meeting or
adjourned meeting of the Noteholders specified above.
