EXTENSION OF DATE FOR FULFILMENT OF REMAINING CONDITION PRECEDENT


1.     INTRODUCTION

1.1.      Ascendis shareholders ("Shareholders") are referred to the circular to Shareholders
          issued on Monday, 18 December 2023 ("Circular") and the supplementary circular to
          Shareholders issued on 25 March 2024 ("Supplementary Circular").

1.2.      Capitalised terms used in this announcement that are not otherwise defined, bear the
          meanings ascribed to them in the Circular and Supplementary Circular.

2.     EXTENSION OF DATE FOR FULFILMENT OF CONDITION PRECEDENT

2.1.      Shareholders are hereby advised that the date for fulfilment of the condition precedent set
          out in paragraph 3.4.1.4 of the Circular relating to Regulatory Approvals (as defined in the
          Circular) has been extended by agreement between the Consortium and Ascendis to 17:00
          pm on 20 July 2024.

2.2.      The remainder of the conditions precedent set out in paragraph 3.4.1.1 to paragraph
          3.4.1.3 of the Circular have been fulfilled.

3.     RESPONSIBILITY STATEMENTS

3.1.      The Independent Board and the Board (to the extent that the information relates to
          Ascendis), collectively and individually, accept responsibility for the information contained
