JSE LIMITED DEBT LISTINGS REQUIREMENTS (DLRs): UPDATE ON TRANSACTIONS,
LOANS AND PROCUREMENT REGISTERS

In terms of paragraphs 7.10 and 7.16 of the DLRs, a state-owned entity (Eskom) is required
to make available on its website, when it publishes its annual financial statements, registers
of transactions/dealings with, loans to and procurement from directors and prescribed officers
who are classified as Domestic Prominent Influential Persons (DPIPs), related parties and
DPIPs. In this regard, bondholders are advised to take note of the following:

   1. Procurement from, and loans to, directors and prescribed officers
      In terms of Eskom's Memorandum of Incorporation and Conflicts of Interest Policy,
      Eskom is prohibited from providing financial assistance to, and transacting with,
      directors and prescribed officers, and therefore does not, and will not, have a register
      reflecting such.

   2. Procurement from, and loans to, Domestic Prominent Influential Persons and related
      parties
      Eskom does not provide financial assistance to any persons, and therefore has no
      loans to DPIPs and related parties.

      In terms of Eskom's Domestic Prominent Influential Persons and Foreign Public
      Prominent Officials (FPPOs) and Related Individuals Policy dated 8 April 2024,
      published on the website, Eskom has, in terms of this policy, commenced a process to
      identify existing suppliers who are classified as DPIPs, FPPOs and related parties, in
      order to establish and maintain a register of such persons, which will be made available
      on Eskom's website in due course.
