KEY FINANCIAL HIGHLIGHTS

Revenue increased to R2.11 billion (2021: R1.95 billion)

Loss per share increased to 46.3 cents (2021: 21.1 cents)

Headline loss per share increased to 31.7 cents (2021: 20.6 cents)

No dividend declared (2021: Nil cents per share)

DISTRIBUTION OF INTEGRATED ANNUAL REPORT

Shareholders are advised that the Group's integrated annual report for the year ended 30 June 2022 ("2022
IAR"), incorporating the audited consolidated annual financial statements for the year ended 30 June 2022
("2022 AFS"), has been distributed to shareholders today. The 2022 IAR is available on Conduit Capital's
website at https://www.conduitcapital.co.za/financial-information.php.

The 2022 AFS have been audited by Conduit Capital's auditor, Nexia SAB&T, who expressed a disclaimer
opinion thereon. In addition, the audit opinion and the 2022 AFS detail a material uncertainty relating to
going concern of Conduit Capital.

The audit opinion setting out, inter alia, the 'Basis for disclaimer of opinion on consolidated financial
statements' and the 'Material uncertainty related to going concern', together with the 2022 AFS incorporated

NOTICE OF ANNUAL GENERAL MEETING

Notice is hereby given that the annual general meeting of shareholders of Conduit Capital ("AGM"), which
will be conducted entirely by electronic communication, will be held at 14:00 on Tuesday, 1 October 2024
to consider and, if deemed fit, to pass with or without modification, the resolutions set out in the notice of
the AGM ("Notice") contained in the 2022 IAR.
