ANNOUNCEMENT TO THE NOTICE OF A MEETING OF THE HOLDERS OF ALL NOTES ISSUED IN
RELATION TO TRANSACTION NO. 1 – BRIDGE TAXI FINANCE NO 8 ("Transaction No. 1")
We refer to the notice delivered by the Issuer on 10 December 2024 in accordance
with Condition 17.2 and Condition 22.2.1 of the terms and conditions of the
Notes, giving notice that a meeting of the holders of the Class B Notes issued
with stock codes MAR03B and MAR04B by the Issuer under the Programme in relation
to Transaction No. 1 ("Meeting"), is to be held on the 14 December 2024 at 14h00,
at the offices of Redinc Capital (Pty) Ltd, situate at 10 Muswell Road South,
Bryanston by way of electronic communication.
The waiver of the 15 Business Days' notice period and the minimum prescribed
notice period in terms of the Companies Act will be confirmed by the holders of
all the Notes at the Meeting.
The purpose of the meeting is to request consent from noteholders as set out in
the notice, which includes full details and instructions relating to the voting
in respect of the Extraordinary Resolutions.
The record date to be recorded in the Register to vote at the noteholders Meeting,
is 6 December 2024.
Please note that the proxy form should be sent to Strate Proprietary Limited at
Strate-CDAdmin@strate.co.za, and a copy to the Issuer at paul@red-inc.co.za, any
time before the time and on the date appointed for holding the meeting or
adjourned meeting of the Noteholders specified above.
