ISSUE OF SHARES FOR CASH UNDER THE GENERAL AUTHORITY- FEBRUARY 2025


In terms of paragraph 11.22 of the JSE Listings Requirements, shareholders are hereby advised that Labat Africa
has issued 147 349 826 new shares under its General Authority to issue shares for cash, which was approved by
shareholders on 23 January 2025 to issue 191 730 455 shares for Cash. The Company has issued 147 349 826 new
shares from the date of the approval of the General Authority.

The new issue of 147 349 826 shares represents 15% thereof. The shares were issued at prices ranging from 8
cents to 12 cents per share, being a premium of 50% of the current trading price of Labat in accordance with
the board approval for the issue of shares for cash.

The funds received are being applied to settle outstanding creditors and claims against the Company.

The shares issued rank pari passu with existing listed Labat Africa ordinary shares. Following the issue of the
hares, the total issued and listed share capital of Labat Africa has increased to 932 375 595 ordinary shares.
