NOTIFICATION IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT 71 OF 2008
Notice is hereby given that, in terms of the provisions of section 45(5)(a) of the Companies Act
71 of 2008 ("the Companies Act") and pursuant to the special resolution passed at the annual
general meeting of the company held on 19 February 2024 authorising the board of directors ("the
board") to provide direct and indirect financial assistance to any of Redefine's present or future
subsidiaries and/or any other company or corporation that is or becomes related or inter-related to
the company, the board has, during the past financial year, adopted resolutions to provide financial
assistance ("financial assistance") as contemplated in section 45(2) of the Companies Act.
The resolutions adopted by the board relate to financial assistance granted to, inter alia, give effect
to the treasury requirements of the Redefine group, including guarantees and inter-company loans
given by Redefine in respect of the obligations of present subsidiaries and related or inter-related
companies of Redefine, the total value of which, together with any previous resolutions to provide
financial assistance during the past financial year, exceeds one-tenth of 1% of Redefine's net worth.
