ADJUSTMENT TO THE ASSET MANAGEMENT FEE


As previously announced on SENS on 25 October 2024, Riaan Erasmus has been employed by Octodec on a full-
time basis, effective 1 December 2024, to fulfil the role of executive financial director and deputy chief executive
officer. Riaan was, since January 2022, previously employed by City Property.

The Asset and Property Management Agreement between Octodec and City Property Administration Proprietary
Limited ("City Property" or the "Manager") provides that, should Octodec be the employer of the financial
director or chief financial officer (the "chief financial officer"), Octodec is entitled to appropriately adjust the
asset management fee payable to the Manager as a consequence of the reduction in services which the Manager is
appointed to perform as a result of Octodec assuming the direct cost of employing the chief financial officer.

Shareholders are accordingly advised that Octodec and City Property have agreed to commensurately reduce the
asset management fee to compensate Octodec for the cost of employing Riaan Erasmus as the chief financial officer
which adjustment will be applied with effect from 1 December 2024.
