Leadership announcement BANK WINDHOEK LIMITED (Incorporated in the Republic of Namibia) Company Alpha Code: BWHIN ("Bank Windhoek" or the "Bank") LEADERSHIP ANNOUNCEMENT Following the announcement on 4 September 2024 that Ms Baronice Hans will complete her tenure as Managing Director of Bank Windhoek Limited at the end of June 2025 and the commencement of a comprehensive talent search to find a suitable successor, the Board of Directors ("Board") of Capricorn Group Limited ("Capricorn Group"), the holding company of Bank Windhoek, is pleased to announce the appointment of Mr James Chapman as Managing Director Designate of Bank Windhoek with effect from 1 February 2025. The appointment was made in accordance with the policy dealing with the nomination of directors of Bank Windhoek. Regulatory approval for the appointment has been obtained. He will work closely with Ms Hans until 30 June 2025 to ensure a smooth transition of leadership and handover of responsibilities for when he takes over as Managing Director on 1 July 2025. James Chapman has been part of Capricorn Group and Bank Windhoek for the past 11 years and has served in various Executive roles. For the past 4 years he has served as the Bank's Executive Officer for Retail Banking Services and Specialist Finance, the largest customer-facing business unit in the Bank. He also served as Chief Financial Officer of Bank Windhoek for the 4 years preceding his tenure in Retail Banking Services. A Chartered Accountant by profession, he holds a bachelor's degree (BAcc) and a Postgraduate Diploma in Accounting (PDA) from the University of Stellenbosch. He serves on Bank Windhoek's Executive Management Team as well as director on various boards within Capricorn Group including Santam Namibia Limited.
