ANNOUNCEMENT TO THE NOTICE OF A MEETING OF THE HOLDERS OF ALL CLASS A NOTES ISSUED
IN RELATION TO TRANSACTION NO. 16 – TOWER INVESTMENTS (SMART TREAD FINANCING
AGREEMENT) ("Transaction No. 16")

We refer to the notice delivered by the Issuer on 25 October 2023, in accordance
with Condition 22.2.3 of the Terms and Conditions of the Notes, giving notice
that a meeting of the holders of all the Class A Notes issued by the Issuer under
the Programme in relation to Transaction No. 16 ("Meeting"), is to be held on
the 21 November 2023 at 08h30, at the offices of Redinc Capital (Pty) Ltd, situate
at 10 Muswell Road South, Bryanston, for the purposes of considering, and, if
deemed fit, passing, with or without modifications, the Extraordinary Resolution.
The Extraordinary Resolution of the Noteholders is sought to amend and restate
the amended and restated Applicable Pricing Supplement issued by the Issuer in
relation to the Notes dated 30 November 2022.


The record date to be recorded in the Register to vote at the Noteholders Meeting,
is 10 November 2023.


Please note that the proxy form should be sent to Strate Proprietary Limited at
Strate-CDAdmin@strate.co.za, and a copy to the Issuer at paul@red-inc.co.za, any
time before the time and on the date, appointed for holding the meeting or
adjourned meeting of the Noteholders specified above.
