CHANGES TO THE STADIO HOLDINGS' BOARD OF DIRECTORS AND SUB-COMMITTEES,
VOLUNTARY UPDATES ON OTHER STADIO GROUP LEADERSHIP CHANGES

RETIREMENT BY ROTATION FROM THE BOARD

In accordance with paragraph 3.59(b) of the JSE Limited Listings Requirements, the board of
directors of the Company ("the Board") wishes to advise shareholders that Dr Christiaan Rudolph
van der Merwe ("Dr Chris van der Merwe"), a non-executive director of the Company, has informed
the Board that he will retire at the Company's Annual General Meeting to be held on 19 June 2025
("AGM"), and will not make himself available for re-election when his directorship comes up for
rotation.

The Board wishes to thank Dr Chris van der Merwe for his many contributions to STADIO Group
during his tenure as a non-executive director and previously, as noted in a SENS on
9 December 2019, his successful tenure as CEO of STADIO Group. Part of Dr Chris van der Merwe's
vision was to build a comprehensive campus in Durbanville (STADIO Durbanville campus) – we are
excited that construction commenced on the STADIO Durbanville campus in September 2024, and
the campus is on track to open in January 2026.

Dr Chris van der Merwe's retirement from the Board does not give rise to a vacancy on the Board.
The Board reviews the composition of its membership continuously and will appoint additional
directors when a need for specific expertise or an appropriate candidate is identified.

CHANGES TO THE STADIO HOLDINGS' BOARD SUB-COMMITTEES

In accordance with paragraph 3.59(c) of the JSE Limited Listings Requirements, the Board would
like to inform shareholders, that effective 19 June 2025, Dr Chris van der Merwe will resign as a
member of the Transformation, Social and Ethics Committee ("TSEC"), a sub-committee mandated
by the Board. An independent non-executive director will be appointed as a member of TSEC at
the AGM and confirmed by shareholders at the AGM.

VOLUNTARY UPDATES ON OTHER LEADERSHIP CHANGES WITHIN THE STADIO GROUP

STADIO Holdings facilitates the widening of access to quality and relevant higher education
programmes in southern Africa through its three prestigious higher education institutions:

•   STADIO Higher Education, the STADIO Group's comprehensive higher education institution,
    offering qualifications across a breadth of faculties and modes of delivery;
•   AFDA, a leader within the creative economies encompassing film, live performance, business
    and innovation and creative writing; and
•   Milpark Education, a leader in digitally enhanced online distance learning with a focus on finance
    and accounting.

STADIO Higher Education

The Board is pleased to announce the appointment of Prof Stanislaus Alexander Du Plessis ("Prof
Stan du Plessis") as CEO of STADIO Higher Education, effective 1 August 2025. Prof Stan du
Plessis is currently the COO of Stellenbosch University (until 31 May 2025) and serves as a non-
executive director of Capitec Holdings Limited. Prof Stan du Plessis brings with him extensive
knowledge of the higher education landscape, with over 25-years' experience in public higher
education, including experience in management of one of South Africa's top universities. His
considerable knowledge in economics and research, coupled with his expertise in contact learning
will be of great benefit to STADIO Higher Education, also complementing STADIO Higher
Education's strong distance learning capabilities. The Board believes Prof Stan du Plessis is well
suited to take STADIO Higher Education to new heights, whilst further assisting the institution
achieve university status when the regulations allow.

To date, Mr Christian Phillipus David Vorster ("Chris Vorster"), the CEO of STADIO Holdings, has
fulfilled the dual role of CEO of STADIO Higher Education and STADIO Group. STADIO Higher
Education has grown significantly since its inception in October 2020, and the Board believes that
the time is right for STADIO Higher Education to have a dedicated CEO and leadership team. Chris
Vorster will continue to lead STADIO Holdings as CEO and will have more capacity to drive strategic
direction across all the institutions within the STADIO Group.

AFDA

The Board is pleased to note, effective 1 January 2025, Ms Diaan Lawrenson ("Diaan Lawrenson")
took over as CEO of AFDA. Diaan Lawrenson was previously the Dean of AFDA Cape Town
Campus and with over 26-years' experience in South Africa's creative industries; spanning acting,
production, and education, the Board believes she has the knowledge and experience to help AFDA
excel.
