Disclosure of beneficial interest in securities Vodacom Group Limited (Incorporated in the Republic of South Africa) (Registration number 1993/005461/06) Share code VOD ISIN ZAE000132577 (“Vodacom Group” or the “Company”) DISCLOSURE OF BENEFICIAL INTEREST IN SECURITIES In accordance with section 122(3)(b) of the Companies Act, No 71 of 2008 (the “Companies Act”) and paragraph 3.83(b) of the JSE Listings Requirements, shareholders are advised that Vodacom Group has received a formal notification from Vodafone International Holdings B.V (“Vodafone International”) in respect of the change in a beneficial interest in the ordinary shares of the Company. This follows the issuance of 241,976,243 new Vodacom Group shares to Vodafone International in respect of Vodacom Group’s acquisition of a 55% interest in Vodafone Egypt Telecommunications S.A.E. from Vodafone Europe B.V. and Vodafone International, (both indirect wholly owned subsidiaries of Vodafone Group Plc) (the “Transaction”). The Transaction was approved by shareholders on 18 January 2022 and previously announced on SENS on 10 November 2021, 10 December 2021 and 13 December 2022, respectively. Accordingly, and as a result of the issuance of the ordinary shares pursuant to the Transaction, the total beneficial interest in Vodacom Group ordinary shares held by Vodafone Group Plc (through its wholly owned subsidiaries) increased from 60.5% to 65.1%. Vodacom Group has, as required by section 122(3)(a) of the Companies Act, filed the required notices with the Takeover Regulation Panel.
