Appointment of Auditor


In accordance with ASX Listing Rule 3.16.3, Orion Minerals Limited (ASX/JSE: ORN) (Orion or the Company) advises
that Mazars Melbourne Assurance Pty Ltd (Mazars Melbourne) has been appointed as auditor of the Company,
following consent from Australian Securities and Investment Commission (ASIC) to the resignation of the
Company's auditor, BDO Audit Pty Ltd. Mazars Melbourne has agreed to act as the Company's auditor, beginning
with the financial year commencing 1 July 2023.

As per the ASIC disclosure requirements, to effect the resignation, the Company provides the following information:

Outgoing auditor:               BDO Audit Pty Ltd.
Incoming auditor:               Mazars Melbourne Assurance Pty Ltd.
Reason for change:              The change of auditor was the result of a competitive tender process run by the
                                Company for the provision of audit services to the Orion Group.

In accordance with section 327C of the Corporations Act 2001, a resolution will be proposed to shareholders at
the Company's 2024 Annual General Meeting, to ratify the appointment of Mazars Melbourne as the Company's
auditor.

The Board would like to take this opportunity to thank BDO Audit Pty Ltd for its past assistance and services
rendered to the Company.
